Terms of Service

1. Agreement

By accessing or using Script2Set ("Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. Script2Set is operated by Ron Reynolds LLC ("we," "our," or "us").

2. Description of Service

Script2Set is a pre-production tool for filmmakers that helps convert scripts into shot lists, storyboards, and related deliverables. The Service may include AI-powered features (e.g., shot generation via Google Gemini). We may modify, suspend, or discontinue features at any time.

3. Account and Eligibility

You must create an account to use certain features. You are responsible for maintaining the confidentiality of your account and for all activity under it. You must be at least 16 years old and have the legal capacity to enter into these Terms. By creating an account, you confirm that you have read and accepted our Privacy Policy.

4. Your Content

You retain ownership of the scripts, scenes, shot lists, and other content you upload or create ("Your Content"). By using the Service, you grant us a limited license to store, process, and display Your Content solely to provide the Service (e.g., to generate shot suggestions via AI). We do not claim ownership of Your Content.

You represent that you have the right to upload and use Your Content and that it does not infringe any third-party rights. We may remove content that violates these Terms or applicable law.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload content that infringes intellectual property, privacy, or other rights
• Attempt to gain unauthorized access to the Service, other accounts, or our systems
• Interfere with or disrupt the Service or its infrastructure
• Use automated means (e.g., bots, scrapers) without our permission
• Resell, sublicense, or commercially exploit the Service beyond normal use

We may suspend or terminate your account if you violate these Terms.

6. AI Features

AI-generated content (e.g., shot suggestions) is provided "as is" and may not be accurate or suitable for your project. You are responsible for reviewing and approving any AI output before use. We do not guarantee the quality, legality, or fitness for purpose of AI-generated content.

7. Intellectual Property

The Service, including its design, code, branding, and documentation, is owned by us or our licensors. You may not copy, modify, distribute, or create derivative works of the Service except as expressly permitted. Script2Set and related marks are our trademarks.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE (AND OUR AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify and hold harmless Ron Reynolds LLC and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, or your violation of these Terms.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your account for violation of these Terms or for any other reason. Upon termination, your right to use the Service ceases. We may retain or delete your data as described in our Privacy Policy.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware. If you are in the EEA, you may have mandatory consumer rights under your local law that cannot be waived.

13. Changes

We may modify these Terms at any time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may be communicated via email or a notice in the app. Continued use of the Service after changes constitutes acceptance. If you do not agree, you must stop using the Service.
